§ 14-10-3. Articles of incorporation and amendment thereof.

  • (a)

    Three (3) or more persons designated by a majority of the empowerment zone coordinating council shall make written application to the city council to incorporate the empowerment zone development corporation on behalf of the City of Detroit. The application shall include proposed articles of incorporation and proposed bylaws. The name of the corporation shall be "The Empowerment Zone Development Corporation of the City of Detroit".

    (b)

    The contents of the articles of incorporation shall iterate, among other things, the name of the corporation, the purpose for which the corporation is incorporated, the resident agent, the registered office, and the number, terms and manner of selection of its officers.

    (c)

    The city council shall request that the city clerk notify the public of receipt of the application, as well as the time and place scheduled for a public hearing, by publication once in a newspaper of general circulation not less than ten (10) days before the date set for the hearing. In addition, notice of the hearing shall be posted not less than ten (10) days before the hearing in at least ten (10) conspicuous and public places within the empowerment zone.

    (d)

    After a public hearing, such application and articles of incorporation shall be approved only after adoption of a resolution by the city council. Within seven (7) business days after city council approves both the application to incorporate the corporation and the proposed articles of incorporation, the city clerk shall file the original of the articles of incorporation with the Michigan Department of Commerce and, after certifying that the same is a true and accurate copy of the original articles of incorporation, shall file one (1) copy in his or her office.

    (e)

    In the event that the articles of incorporation are amended, such amendment shall be approved only after adoption of a resolution by the city council. Within seven (7) business days after the city council approves such amendment, the city clerk shall file the original of the amendment to the articles of incorporation with the Michigan Department of Commerce and, after certifying that the same is a true and accurate copy of the original amendment to the articles of incorporation, shall file one (1) copy in his or her office.
